The regulatory requirements of Companies House, and indeed of Company Law, for all private limited companies and limited partnerships are becoming increasingly stringent with severe penalties for non-compliance.

Companies House have very strict requirements and, under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), further requirements are being introduced.  You can see the changes communicated in April 2025 here   Companies House Changes – April 2025 – RPG Chartered Accountants   as well as the earlier update in March 2024  which set the scene.   Penalties for non-compliance include significant fines, the striking off of the company and disqualification of directors.

As well as making all accurate and timely filings to Companies House to ensure your compliance, we will maintain a record of all relevant information; we will also make sure that any changes that are made, for example to the names of company directors, relevant addresses etc., are carried across all of your statutory documentation.  It does however remain the responsibility of the company directors to ensure that RPG are provided with all of the most up to date information.

Details of RPG’s Company Secretarial Service

RPG’s extended Company Secretarial Service offering takes into account the latest requirements of Companies House.  You will need to take action.  Details of the changes from April 2025 are explained here. Companies House Changes – April 2025 – RPG Chartered Accountants

1. Identity Verification

Companies House have advised that the ID verification requirement will be effective from Autumn 2025 after which there will be a 12-month transition period for directors and PSCs to comply, with the timing driven by the scheduling of the company’s Confirmation Statement. And all relevant people should be compliant with their ID Verification by Autumn 2026.

2. Limited Company Formation

We can provide advice on the formation of a new limited company and will register the company at Companies House.  We are also able to prepare share certificates, formation documents, statutory registers and standard articles of association.

We are also able to advise when bespoke Articles of Association are required.

3. Registered Office Service

Use of the RPG Registered Office service allows you to keep your business address private.  As part of this service, we would manage and sort your post and potentially your emails.  We would forward any relevant correspondence by email and dispose of any junk correspondence.

4. Service Address

All officers of a company are required to provide Companies House with a service address to which official mail should be sent.  We can provide RPG’s details as a service address in order to keep their residential address private. In the same way we would forward any relevant correspondence by email to the specified address.

5. Registered Email Service

It has been a requirement since March 2024 for businesses to provide Companies House with a registered email address which Companies House will use to communicate with the company.  It must be an “appropriate” address meaning that correspondence will reach an appropriate person as quickly as possible.  This address will not be visible on the Companies House Register.

RPG are able to provide a bespoke email address for clients which will be monitored for all Companies House correspondence.

6. Limited Company Closing Service

The time may come when the company needs to be closed.  The RPG team will provide the advice on the options open to you and as part of this service, we can register the company as dormant or can close it down completely with Companies House. 7. Maintenance of statutory registers and filing of records

Please be aware that the requirements of Companies House are becoming much more stringent and you will need to take action for compliance purposes.
